Terms of Service

3.1 Age Requirement

You must be at least 18 years old to use this App.

3.2 Legal Capacity

You must be legally capable of entering into binding contracts under the laws of your jurisdiction.

3.3 Representation

By using the App, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate and truthful.

4.1 Account Creation

You must create an account to access the full features of the App. During registration, you must provide accurate, current, and complete information.

4.2 Account Security

• You are solely responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must immediately notify us of any unauthorized use of your account or security breach
• We are not liable for any loss or damage arising from your failure to protect your account information

4.3 Account Accuracy

You agree to promptly update your account information to keep it accurate, current, and complete.

5.1 Subscription Plans

The App offers the following subscription plans:

• Monthly Plan: $12.99 CAD per month
• Annual Plan: $95.00 CAD per year

5.2 Payment Processing

• Payments are processed through Stripe, Apple App Store, or Google Play Store
• By subscribing, you authorize automatic recurring charges to your selected payment method
• All fees are in Canadian dollars unless otherwise specified
• Applicable taxes may be added to subscription fees

5.3 Billing Cycles

• Monthly subscriptions renew automatically every month on the anniversary of your subscription date
• Annual subscriptions renew automatically every year on the anniversary of your subscription date
• You will be charged at the beginning of each billing cycle

7.1 Plaid Integration

The App uses Plaid Technologies, Inc. ("Plaid") to connect to your financial institutions. By connecting your bank accounts:

• You agree to Plaid's End User Privacy Policy and Terms of Service
• You authorize Plaid to access your account information on our behalf
• You understand that Plaid's services are subject to their own terms and availability

7.2 Account Access Authorization

By connecting your financial accounts, you grant us permission to:

• Access your account information through Plaid
• Retrieve transaction data, account balances, and account details
• Use this information solely for providing our budgeting and expense tracking services

8.1 Permitted Use

You may use the App only for lawful personal financial management purposes in accordance with these Terms.

8.2 Prohibited Activities

You agree not to:

• Use the App for any illegal purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to our systems, other users' accounts, or connected financial institutions
• Reverse engineer, decompile, disassemble, or create derivative works of the App
• Upload, transmit, or distribute viruses, malware, or other malicious code
• Interfere with or disrupt the proper functioning of the App or our servers
• Use automated systems, bots, or scripts to access the App
• Share your account credentials with others or allow others to access your account
• Violate any third-party rights, including intellectual property rights
• Use the App to transmit spam, unsolicited communications, or promotional material
• Impersonate any person or entity or misrepresent your affiliation
• Collect or harvest information about other users

9.1 Our Rights

The App and its original content, features, functionality, design, graphics, text, and other materials are owned by SRVC Technologies Inc. and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

9.2 Limited License

We grant you a personal, non-exclusive, non-transferable, revocable, limited license to use the App for your personal, non-commercial use in accordance with these Terms. This license does not include any right to:

• Resell, distribute, or commercially exploit the App
• Modify, adapt, or create derivative works
• Use our trademarks, logos, or brand names
• Access the App's source code

10.1 Service Availability

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE APP WILL BE:

• Available at all times or free from interruptions
• Free from errors, viruses, or other harmful components
• Compatible with all devices or operating systems
• Accurate, complete, or up-to-date

11.1 Disclaimer of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SRVC TECHNOLOGIES INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE APP
• DAMAGES RESULTING FROM THIRD-PARTY CONDUCT OR CONTENT
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA

11.2 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE APP SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13.1 Termination by You

You may terminate your account at any time by:

• Contacting us at hello@spenny.app
• Using the account deletion feature in the App (if available)
• Canceling your subscription through your app store account

Termination does not entitle you to a refund of any prepaid subscription fees.

13.2 Termination by Us

We may suspend, disable, or terminate your account immediately, with or without notice, for any reason, including:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Technical or security reasons
• Discontinuation of the App

14.1 How to Cancel

• App Store Subscriptions: Cancel through your Apple App Store account settings
• Google Play Subscriptions: Cancel through your Google Play Store account settings
• Direct Subscriptions: Contact hello@spenny.app

14.2 When Cancellation Takes Effect

• Cancellation takes effect at the end of your current billing period
• You will continue to have access to premium features until the end of the paid period
• No refunds will be provided for unused portions of your subscription

15.1 App Updates

We may release updates, upgrades, enhancements, or new versions of the App from time to time. You agree to accept such updates, which may be automatically downloaded and installed.

15.2 Terms Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated through email notification, in-app notification, or by posting updated Terms in the App. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms.

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

17.2 Jurisdiction

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or provincial courts located in Toronto, Ontario, and you hereby consent to personal jurisdiction and venue therein.

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us in the App, constitute the entire agreement between you and SRVC Technologies Inc. regarding your use of the App.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights or provisions.

19.1 Informal Resolution

Before initiating any legal proceedings, you agree to first contact us at hello@spenny.app to attempt to resolve any dispute informally.

19.2 Binding Arbitration

If informal resolution fails, any dispute will be resolved through binding arbitration under the rules of the ADR Institute of Canada, conducted in Toronto, Ontario.

20.1 App Store Terms

Your use of the App may also be subject to additional terms imposed by the Apple App Store or Google Play Store.

20.2 Mobile Carrier Charges

You are responsible for any charges from your mobile carrier related to downloading or using the App, including data usage charges.
